By using the Services, you represent and warrant that you meet these eligibility requirements. Kapitalwise offers tools, content, and referral services that may introduce you to independent third-party financial professionals ("Advisors"). Kapitalwise is not a registered investment adviser, broker-dealer, or fiduciary. We do not:

- Provide investment, tax, or legal advice; - Recommend any specific securities or investments; - Monitor or supervise the advice you receive from Advisors.

Any engagement you enter into with an Advisor is solely between you and that Advisor. You are responsible for conducting your own due diligence before entering any advisory relationship.

Kapitalwise may receive compensation from financial Advisors in exchange for client introductions. This compensation structure may include:

- Per-lead or per-appointment fees; - Flat monthly fees; - Success-based compensation, where permitted by law.

Kapitalwise does not guarantee:

- That you will be matched with a financial Advisor; - That any Advisor will meet your financial needs or expectations; - The performance or outcomes of any advice you receive.

All materials available through the Services—including text, graphics, logos, and software—are owned or licensed by Kapitalwise and protected under intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.

The Services may contain links to third-party websites or content. Kapitalwise does not control or endorse these websites and is not responsible for their availability, accuracy, or practices. Use of third-party websites is at your own risk.

Except where prohibited by law, you and Kapitalwise agree to resolve all disputes and claims through binding individual arbitration under the rules of the American Arbitration Association ("AAA").

You agree that:

- You waive your right to a jury trial; - You may not participate in any class action, class arbitration, or representative proceeding; - Arbitration will be conducted in New York, NY (unless otherwise agreed).

Opt-Out Right: You may opt out of arbitration by notifying us in writing within 30 days of first using the Services. Send notice to:

The Services are provided "as is" and "as available." Kapitalwise makes no warranties, express or implied, regarding the Services.

To the maximum extent permitted by law, Kapitalwise shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data or profits, arising from your use of the Services or any Advisor interaction.

Our total liability for any claim shall not exceed $100 or the total amount paid by you to Kapitalwise, whichever is greater.

You agree to indemnify and hold harmless Kapitalwise, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, and expenses arising from:

- Your use or misuse of the Services; - Your violation of these Terms; - Any engagement or dispute with an Advisor introduced through the Services.

We may update these Terms from time to time. If we make material changes, we will post the updated version with an updated "Effective Date." Continued use of the Services after such updates constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any non-arbitrable disputes will be subject to the jurisdiction of courts located in New York, NY.

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, without liability. These Terms will continue to apply even after termination.

Entire Agreement: These Terms constitute the entire agreement between you and Kapitalwise.

Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

No Waiver: Our failure to enforce any part of these Terms does not waive our rights.
